Purpose
This policy protects Surge’s network, intellectual property, and business relationships from being exploited or bypassed. It ensures that all introductions, opportunities, and collaborations initiated through Surge remain within the platform and follow the proper channels for tracking, transparency, and commission eligibility.
Scope
This policy applies to:
All Surge members (Scouts, Strategists, and Mentors)
All Surge-approved EPC, product, and financing partners
All Surge-Certified consultants and subcontractors
By participating in the Surge platform, each party agrees to comply fully with this policy and all related terms outlined in their Independent Contractor Agreement or Partner Agreement.
Core Requirements
No Direct Engagement Outside Surge
Members and partners may not negotiate, contract, or engage directly with any Surge client, lead, or project contact introduced through the Surge platform outside of approved Surge systems or without written authorization.
No Independent Deals or Side Agreements
All project-related agreements, proposals, and contracts generated from Surge leads or introductions must be managed within Surge’s official framework.
Members and partners may not create side deals or off-platform contracts with clients, EPCs, or other Surge members.
No Solicitation or Recruitment
Members and partners may not attempt to recruit Surge personnel, contractors, or clients for external businesses, unrelated ventures, or competing organizations.
No Circumvention of Fees or Commissions
All fees, commissions, and revenue shares are processed through Surge’s platform. Bypassing these structures by invoicing clients directly or redirecting payments, constitutes a policy violation and may result in immediate termination.
Confidentiality and Data Protection
All client, project, and partner information obtained through Surge is considered confidential. Members and partners may not use this data for personal benefit, share it externally, or leverage it for non-Surge business purposes.
Duration of Non-Circumvention Obligation
The obligation not to circumvent Surge’s relationships or systems remains in effect:
During the term of any active agreement or engagement, and
For a period of two (2) years following termination, expiration, or separation from Surge.
This protection period ensures continued fairness and prevents exploitation of relationships established through Surge.
Enforcement
Violations of this policy may result in:
Immediate termination of membership or partner status
Forfeiture of commissions or bonuses related to the circumvention
Legal action for damages, loss of revenue, or breach of contract
Surge reserves the right to audit communication records, CRM activity, and partner logs to ensure compliance with this policy.
Reporting Violations
If you become aware of potential circumvention or unauthorized contact between a Surge client and a member or partner:
Report the issue immediately to [email protected].
Include the names of the parties involved, relevant dates, and any supporting documentation.
The Surge leadership and compliance team will review and address the matter promptly and confidentially.
