Surge is built on trust, professionalism, and accountability. To maintain the integrity of our network and ensure compliance with company standards, Surge reserves the right to suspend or terminate a member’s account if conduct, performance, or compliance obligations are not met.

This policy outlines when and how such actions may occur, and what members can expect if they are subject to review.


Purpose

The purpose of this policy is to ensure that all members, regardless of level or role, operate with integrity and follow the rules and agreements they’ve accepted - including the Independent Contractor Agreement, the Code of Conduct, and Surge’s Policies & Procedures.


Grounds for Suspension or Termination

A member may be suspended or terminated for any of the following reasons:

Policy Violations

Failure to comply with Surge’s Policies & Procedures, Code of Conduct, or applicable laws and regulations.

Misrepresentation

Providing false, misleading, or incomplete information to clients, partners, or Surge staff.

Unethical Conduct

Engaging in dishonest, harassing, or discriminatory behavior toward clients, team members, or partners.

Data or Confidentiality Breach

Sharing or misusing confidential company, client, or partner information without authorization.

Circumvention or Unauthorized Deals

Engaging in direct deals, side contracts, or unapproved collaborations outside the Surge platform.

Inactivity or Non-Performance

Failing to maintain the minimum activity or performance requirements for a given membership level.

Payment Issues

Failure to maintain an active membership in good standing, including overdue or failed payments for paid roles (e.g., Strategist plan).


Suspension Process

Surge may issue a temporary suspension when there are compliance concerns that require review.

During suspension:

  • The member’s account access may be limited or paused.

  • Commissions, overrides, or pending payouts may be placed on hold.

  • The member will receive written notice outlining the reason for suspension and next steps.

Suspensions allow time for investigation, correction, or resolution before a termination decision is made.


Termination Process

Termination is reserved for serious or repeated violations.

Notification

Members will receive a written notice from Surge outlining the reason for termination, the effective date, and any associated consequences.

Final Review

In certain cases, members may request a review of the decision by responding to the notice email within five (5) business days.

Effect of Termination

Once terminated:

  • The member immediately loses access to the Surge platform and associated systems.

  • All pending commissions or bonuses may be forfeited if the violation affected eligibility.

  • The member must cease representing Surge in any capacity.


Reinstatement

In limited cases, a suspended or terminated member may be eligible for reinstatement after demonstrating corrective action and compliance with all policies.
Reinstatement requests must be submitted in writing to [email protected] and will be reviewed on a case-by-case basis by the compliance and leadership teams.


Non-Retaliation and Confidentiality

Surge will not tolerate retaliation against any member who, in good faith, reports misconduct or policy violations. All investigations and disciplinary actions are handled confidentially and in accordance with company procedures.
